Terms of Service

Waivr provides web-based software that enables general contractors to generate state-specific lien waiver documents, collect electronic signatures from subcontractors, and manage construction payment compliance documentation.

Waivr is a document generation tool only. Nothing in these Terms or on our platform constitutes legal advice. All lien waiver documents generated by Waivr are based on publicly available statutory templates and are provided for informational and operational purposes only. You are solely responsible for ensuring that any document generated through Waivr meets the legal requirements of your specific project, jurisdiction, and circumstances. Waivr strongly recommends consulting a licensed attorney before relying on any document for legal purposes.

To use Waivr you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at anthony@lienwaivr.com if you suspect unauthorized access to your account.

You must be at least 18 years of age to use our Services. By registering, you represent and warrant that all information you provide is accurate and that you have the authority to enter into these Terms.

Waivr offers three subscription tiers: Starter at $49 per month, Pro at $99 per month, and Enterprise at $199 per month. The Starter plan requires upfront payment with no free trial. Pro and Enterprise plans include a 14-day free trial, after which you will be billed automatically.

All payments are processed securely through Stripe. By providing payment information you authorize Waivr to charge your payment method on a recurring monthly basis until you cancel. All fees are in US dollars and are non-refundable except as required by applicable law. If your payment fails, we reserve the right to suspend or terminate your account.

Pro and Enterprise plans include a 14-day free trial. No credit card is required to begin a free trial. At the end of the trial period your account will require a paid subscription to continue using the Services. Waivr reserves the right to modify or terminate free trial offers at any time.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Services through the end of the period you have paid for. Waivr does not offer refunds for unused portions of any billing period.

Upon cancellation your data will be retained for 90 days before deletion, during which time you may export your documents.

You agree to use Waivr only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Services to generate fraudulent or falsified documents; impersonate any person or entity; attempt to gain unauthorized access to any part of the Services; reverse engineer, decompile, or disassemble any part of the software; use the Services in any way that could damage, disable, or impair our systems; or violate any applicable federal, state, or local law or regulation.

Waivr facilitates the collection of electronic signatures through tokenized signing links. Electronic signatures collected through Waivr are intended to comply with the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).

However, Waivr makes no guarantee that any electronically signed document will be legally enforceable in every jurisdiction or circumstance. You are solely responsible for determining whether electronic signatures are legally valid and sufficient for your specific use case. Waivr strongly recommends consulting a licensed attorney if you have questions about enforceability.

Waivr stores your lien waiver documents, project data, and subcontractor information securely in our database. We retain this data for as long as your account is active and for up to 84 months following account termination for legal and compliance purposes.

Waivr takes reasonable technical and organizational measures to protect your data but cannot guarantee absolute security. You are responsible for maintaining your own backup copies of all signed documents. Waivr is not liable for data loss resulting from circumstances beyond our reasonable control.

All software, content, features, and functionality of the Waivr platform are owned by Waivr LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Waivr expressly disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Waivr does not warrant that the Services will be uninterrupted, error-free, or completely secure. Waivr does not warrant that any document generated through the platform is legally sufficient or enforceable in any jurisdiction.

To the maximum extent permitted by applicable law, Waivr LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. In no event shall Waivr's total liability to you for any claims arising out of or related to these Terms or the Services exceed the total amount you paid to Waivr in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Waivr LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through informal negotiations for a period of 30 days. If the dispute is not resolved through informal negotiations, it shall be submitted to binding arbitration in Ingham County, Michigan, United States. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. Waivr agrees to pay arbitration fees if they are deemed excessive.

Any dispute not subject to arbitration shall be litigated exclusively in the state or federal courts located in Ingham County, Michigan. You waive any right to a jury trial or to participate in a class action lawsuit. Any cause of action arising out of or related to these Terms or the Services must be commenced within one year after the cause of action accrues, after which it is permanently barred.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.

Waivr reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Waivr reserves the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination all licenses granted to you under these Terms will immediately terminate. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
